INTRODUCTORY STATEMENT

This Registration Statement on Form S-8 is being filed by Xerox Holdings Corporation (the “Registrant”) for the purpose of registering 12,776,316* shares of the Registrant’s common stock, par value $1.00 per share (“Common Stock”), which may be issued upon exercise of options, rights and other awards granted and to be granted pursuant to the Xerox Holdings Corporation Performance Incentive Plan (the “Plan”), as from time to time amended.

*Includes (i) shares remaining available for issuance under the Xerox Corporation 2004 Performance Incentive Plan, as amended, and its predecessor plans (together “Predecessor Plans”) and (ii) an estimate of shares underlying outstanding awards under the Predecessor Plans that expire or are cancelled, forfeited or cash-settled after December 31, 2019 and become available for issuance under the Plan in accordance with the terms of the Plan.
